Terms and Conditions

These Terms and Conditions (“Agreement”) govern the provision of services by 3 Paths Marketing (“Agency,” “we,” “us,” or “our”) to the client (“you” or “Client”). By engaging our services, you agree to the following terms:

1. Services Provided

We provide marketing services, including but not limited to social media management, content creation, website development, SEO, marketing strategy, and paid advertising management. Specific deliverables, timelines, and fees will be outlined in a separate statement of work or service agreement.

2. Payment Terms

  • Fees: All fees are as stated in the service agreement or statement of work. Payments must be made as outlined in the agreement.
  • Invoicing: Invoices will be sent either monthly or according to the agreed payment schedule. Payments are due within 15 days of receipt of the invoice unless otherwise specified.
  • Late Payments: Late payments are subject to a late fee of 2% of the invoice amount per month. If payments are overdue for more than 60 days, services may be suspended until payment is made.

3. Client Responsibilities

  • Timely Feedback: You agree to provide all necessary content, feedback, and approvals in a timely manner to avoid delays in project timelines.
  • Access to Platforms: You will provide necessary access to your website, social media platforms, and any other tools required for us to perform our services.
  • Compliance: You are responsible for ensuring that any content or materials you provide comply with all applicable laws and do not infringe on any third-party rights.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the relationship. Neither party will disclose any confidential information to third parties without prior written consent, except as required by law.

5. Intellectual Property

  • Ownership: All materials, content, and intellectual property created by the Agency in connection with the services will remain the property of the Agency until full payment is received. Upon full payment, ownership rights will transfer to the Client.
  • License: The Agency grants you a non-exclusive, revocable license to use the materials we create solely for the purposes of your business.

6. Termination

  • Termination by Client: You may terminate this Agreement at any time with 30 days’ written notice. Upon termination, you are responsible for paying for all services rendered up to the termination date.
  • Termination by Agency: We reserve the right to terminate the Agreement if the Client breaches any terms, including failure to pay invoices, or if there are violations of any laws, rules, or regulations related to the services provided.

7. Limitation of Liability

  • No Guarantee of Results: While we strive to provide exceptional service, the Agency does not guarantee specific results, such as increased revenue, customer acquisition, or search engine rankings, as these are dependent on multiple factors outside our control.
  • Limitation: In no event will the Agency be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability will not exceed the amount paid for services in the six months preceding the claim.

8. Force Majeure

Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, pandemics, or interruptions in internet or communication services.

9. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the state of Alabama, without regard to its conflict of laws provisions. Any disputes will be resolved in the courts located in Alabama.

10. Amendments

The Agency reserves the right to update or modify these Terms and Conditions at any time. You will be notified of any changes, and your continued use of our services constitutes acceptance of the revised terms.

11. Miscellaneous

  • Entire Agreement: This Agreement, along with any service agreements or statements of work, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
  • Assignment: You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of the Agency.
